Please read these terms and conditions carefully before using FanDesk.

Terms of Service Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Agency") and Parallax Technologies UG ("we", "us", "our", or "FanDesk"), regarding your use of the FanDesk platform and services.

By accessing or using FanDesk, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.



1. Service Description

FanDesk is a Customer Relationship Management (CRM) platform designed specifically for agencies that manage content creators on the FanBlast platform. Our services include tools for managing fan communications, content delivery, team management, analytics, and other related functionalities to facilitate efficient management of creators on FanBlast.



2. Agency Relationship and Authorization


2.1 Agency Authorization

By using our services, you represent and warrant that you have proper and legal authorization to act on behalf of the creators that you manage on the FanBlast platform. You acknowledge that we establish a contractual relationship with you as the Agency, not with the creators you manage.


2.2 Verification

We reserve the right to request documentation verifying your authorization to represent the creators you claim to manage. Providing false information regarding your relationship with creators may result in immediate termination of your account.



3. Account Registration and Security


3.1 Account Creation

To use FanDesk, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.


3.2 Employee Accounts

As an Agency, you may invite your employees to create individual user accounts. Invitations are sent via email, allowing recipients to create their own accounts with specific permissions determined by you. You are responsible for managing these employee accounts and ensuring they comply with these Terms.


3.3 Account Security

You are responsible for maintaining the security of your account and any employee accounts associated with your Agency. You must notify us immediately of any unauthorized access or use of your account, or any other breach of security.



4. Subscription and Payment Terms


4.2 One-Time Trial

The free trial offer is available only once per agency. Attempts to create multiple accounts to benefit from additional trial periods are prohibited and may result in account termination.


4.3 Subscription Fees

Our subscription fees are based on the revenue tiers of the creators you manage. Current pricing is available on our Pricing page. We reserve the right to modify our pricing with reasonable notice.


4.4 Payment Processing

We use Stripe as our payment processor. By providing your payment information, you agree to pay all fees in accordance with the payment terms in effect at the time. You must provide accurate and complete billing information.


4.5 No Refunds

All payments are final and non-refundable. There are no partial refunds for unused subscription periods or downgrading to a lower tier.



5. Content Ownership and Rights


5.1 Your Content

We do not claim ownership rights in any content that you or your managed creators publish, distribute, or sell through FanBlast. All rights to such content remain with the original content owner (the creator).


5.2 No Content Storage

FanDesk does not store, host, or maintain the content that creators publish on FanBlast. Our platform functions as a management tool for the FanBlast platform without storing the content itself.


5.3 Data Analytics

We may collect and analyze data about usage patterns, performance, and other metrics related to your use of FanDesk. Such analytics help us improve our services and may be provided to you as part of our platform functionality.



6. Limitations and Disclaimers


6.1 FanBlast Platform Independence

FanDesk is not affiliated with, endorsed by, or in any way officially connected with FanBlast. We operate independently as a third-party management tool for agencies working with creators on the FanBlast platform.


6.2 Platform Changes

FanBlast may update or change its platform, API, or services at any time without notifying us. Such changes may affect the functionality of FanDesk. We will make reasonable efforts to update our software promptly, but we disclaim any liability for temporary disruptions or functional limitations resulting from such changes.


6.3 Software Limitations

While we strive to provide high-quality, reliable software, FanDesk, like all software, may contain bugs, errors, or inaccuracies. We do not warrant that FanDesk will be error-free, uninterrupted, or that defects will be corrected.


6.4 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FANDESK PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.



7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FANDESK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  3. ANY CONTENT OBTAINED FROM THE SERVICE; AND
  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO SUCH CLAIM.



8. Term and Termination


8.1 Term

These Terms will remain in effect until terminated by either you or us.


8.2 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription and discontinuing use of FanDesk. Please note that no refunds will be provided for prepaid subscription periods.


8.3 Termination by Us

We may terminate or suspend your account and these Terms immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.


8.4 Effect of Termination

Upon termination, your right to use FanDesk will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.



9. Changes to Terms

We may revise these Terms at any time by updating this page. Changes will be effective immediately upon posting to our website. Your continued use of FanDesk after such changes constitutes your acceptance of the revised Terms.

For substantial changes, we will make reasonable efforts to provide notification via email or through the FanDesk platform. However, it is your responsibility to check these Terms periodically for changes.



10. General Provisions


10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.


10.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of FanDesk shall be subject to the exclusive jurisdiction of the courts located in Berlin, Germany.


10.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.


10.4 Entire Agreement

These Terms constitute the entire agreement between you and FanDesk regarding our Services and supersede any prior agreements.


10.5 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer without such consent will be void. We may freely assign or transfer these Terms without restriction.
